Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Siplicity Corporation Roblox Staff Panel, Website and any related tools, dashboards, bots, websites, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1) Who we are

Siplicity Corporation” (“Siplicity,” “we,” “us,” or “our”) develops Roblox.com experiences and external web services for our own community.

2) Relationship to Roblox

Siplicity is an independent provider and is not owned by, operated by, or affiliated with Roblox Corporation. Your use of the Roblox platform remains subject to Roblox’s own terms and policies, including without limitation the Roblox Terms of Use and Community Standards. You must comply with those rules at all times while using the Service.

3) Eligibility

  • Only individuals expressly authorized by Siplicity may access the Service.
  • You must be at least the age of 13, this is subject to change based on your country of residency digital age of consent.
  • You represent that any account you use is your own and that the information you provide is accurate and up to date.

4) Accounts, access & security

  • Credentials. Keep your login credentials, API keys, and session tokens secret. Do not share them. You are responsible for activity under your account.
  • Two‑factor authentication. We may require 2FA, IP allow‑listing, or other security controls. Disabling required controls is grounds for suspension.
  • Ownership. Access may be provisioned via Roblox identity, SSO, or email. Access is a revocable, limited license and does not grant ownership of the Service.

5) Acceptable use & staff conduct

When using the Service, you agree that you will not:

  • Use the Service to harass, discriminate, dox, or otherwise harm users.
  • Automate actions that violate Roblox policies or applicable law.
  • Access, query, or export data you are not authorized to view (e.g., beyond the scope of your staff role).
  • Attempt to reverse engineer, decompile, probe for vulnerabilities, or bypass rate limits or security controls.
  • Upload malware, exploit kits, or content that infringes intellectual property or privacy rights.
  • Use the Service for surveillance or profiling outside of legitimate moderation and operations needs.

6) Moderation actions & auditability

  • Authority. You must only take moderation or administrative actions you are authorized to make.
  • Logs. The Service may create immutable logs of actions (e.g., kicks, bans, notes, evidence uploads). Logs are used for audit, safety, and dispute resolution.
  • Appeals. If your organization offers an appeals process, you must follow it. Siplicity may provide workflow tools but is not a party to your community’s decisions unless we explicitly state otherwise.

7) Data handling & privacy

We process limited information to operate the Service, such as identifiers, moderation metadata, and activity logs. We handle personal data according to our Privacy Policy (the “Privacy Policy”).

  • Legal bases. Depending on your region, processing may be based on legitimate interests, contract necessity, or consent.
  • Community data. Community owners are responsible for the lawfulness of any data they upload to or process via the Service.
  • Retention. We retain data for as long as needed for operations, safety, audit, and legal obligations, then delete or anonymize it.
  • Requests. Data subject requests should be sent to the contact in Section 17. We may require verification of identity and authority.

8) Content & intellectual property

  • Our IP. The Service, including software, UI/UX, documentation, logos, and trademarks, is owned by Siplicity and its licensors and is protected by law. No rights are granted except as expressly stated.
  • Your IP. You retain rights to content you upload where you are the rights holder. You grant Siplicity a limited license to host, process, and display that content solely to provide and improve the Service.
  • Feedback. If you submit feedback or suggestions, you grant us a non‑exclusive, transferable, sublicensable, worldwide, royalty‑free license to use it without obligation.

9) Third‑party services & integrations

The Service may integrate with third‑party services (e.g., Roblox APIs, Discord, analytics, storage). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third‑party services and do not control their availability or behavior.

10) Beta features

We may label some features as alpha, beta, or preview. These features are provided for evaluation “as is,” may be changed or removed at any time, and may be subject to additional terms.

11) Warranty disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

12) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIPLICITY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SIPLICITY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

13) Indemnification

You agree to defend, indemnify, and hold harmless Siplicity and its affiliates, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising out of or related to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third‑party rights, including privacy or intellectual property; or (d) community moderation decisions taken by you or your organization.

14) Suspension & termination

  • We may suspend or terminate access immediately for breach of these Terms, legal risk, security risk, or non‑payment.
  • You may stop using the Service at any time. Some obligations survive termination (see Section 18).
  • Upon termination, your right to access the Service ends, and we may delete or restrict access to data after a reasonable retention period, subject to legal obligations.

15) Changes to the Service and to these Terms

  • We may modify or discontinue features at any time. Where required, we will provide notice.
  • We may update these Terms. If changes are material, we will notify you via the Service, email, or other reasonable means. Continued use of the Service after changes take effect constitutes acceptance.

16) Governing law; venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of The United Kingdom of Great Britain and Northern Ireland , without regard to conflict of laws principles. The exclusive venue for all disputes is the courts located in City of London, and you consent to personal jurisdiction there.

18) General terms

  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. A failure to enforce any provision is not a waiver of future enforcement.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms (and any referenced policies or order forms) constitute the entire agreement between you and Siplicity concerning the Service and supersede any prior or contemporaneous agreements on the same subject.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

19) Definitions

  • “Community.” A Roblox game, group, or organization that uses the Service for moderation or operations.
  • “Staff.” Authorized personnel of a Community, including moderators, administrators, and developers.
  • “Personal data.” Information relating to an identified or identifiable natural person.
  • “Service.” The Siplicity Roblox Staff Panel and related tools, sites, and services.
